Hf.Eimskipafelag Islands (Eimskip) and its subsidiaries Eimskip Holdings Inc. and Versacold Income Fund (Versacold) have engaged RBC Capital Markets to act as Lead Arranger and Royal Bank of Canada as Administrative Agent re the syndication of C$549,367,767 (equivalent) of Senior Secured Credit Facilities (‘the Senior Facilities’). The Senior Facilities are being syndicated on a best efforts basis.
Straumur-Burdaras Investment Bank hf (Straumur) have agreed to provide a Mezzanine Facility of C$112,500,000 (equivalent) to Eimskip Holdings Inc and Eimskip Holdings USA Inc (‘the Mezzanine Facility’).Straumur have also agreed to provide a C$35,000,000 (equivalent) second lien term loan
The Senior Facilities and the Mezzanine Facility are to be used by Eimskip for general corporate purposes and to refinance existing debt, to pay related fees and expenses, and to fund working capital. They are being arranged in conjunction with the sale and leaseback of Versacold’s Canadian properties to KingSett Real Estate Growth LP No.3 (KingSett) and Sitq Industriel III Inc (Sitq) in accordance with an agreement made between the parties on the 31st October 2007.The said Canadian properties have a value of C$299,400,000
The face amount of the senior secured credit facilities (including the Mezzanine Facility) will thereby be reduced from C$930,000,000 to C$661,900,000 upon the successful completion of the these transactions.
